1. Wholesale Account Eligibility

Wholesale pricing and access to this catalog are available exclusively to businesses purchasing for resale. To open a wholesale account, applicants must provide:

• Legal business name and trading name (if different)

• Business address and contact information

• Business registration or incorporation number

• Tax exemption status and applicable tax/VAT/resale number, where claimed

Designs by Nature™ Gems reserves the right to request supporting documentation (business license, resale certificate, or proof of retail operation) prior to fulfilling a first order, and to decline or suspend wholesale accounts at its discretion.

If a wholesale account is suspended or terminated while an order is already in progress, handling of that order will be determined on a case-by-case basis, and may involve completing the order as normal or cancelling the remaining, not-yet-completed portion. The buyer may decline to receive any portion of the order already completed at the time of termination; however, payment for that completed portion is still required upon photo proof that it has been made, and no refund will be given for it. If the buyer does not decline it, the completed portion will be shipped as normal.

2. Scope

These terms apply to all wholesale buyers regardless of country or region. They are not limited to UK-based buyers; the same terms, pricing structure, and policies apply globally unless a separate written agreement states otherwise.

3. Minimum Order Requirements

A basic minimum wholesale order of $250 USD applies to Designs by Nature™ Gems orders. Minimum order requirements for sub-brands (e.g. Raw Stone Elegance) may differ and will be confirmed at the time of ordering.

4. Volume-Based Pricing

Wholesale pricing is tiered according to order volume. The applicable discount is applied per line item based on total units ordered:

Discount tiers apply to designs shown in this catalog as well as designs available exclusively on our website, unless otherwise noted.

5. Website-Specific Designs

Any design available on our website — including designs not shown in this catalog — may be ordered at standard wholesale pricing. This pricing follows the same volume-based tiers outlined in Section 4.

An assigned B2B wholesale account is required to view wholesale pricing and place these orders through the website portal.

6. Pricing & Currency

• All wholesale prices are based on our USD pricing. Catalog prices shown in GBP are converted from this USD base price and are exclusive of VAT.

• Prices are subject to change without notice due to currency fluctuation, material cost, or catalog updates.

• Website orders are quoted and charged in USD. Email/catalog orders are quoted and charged in GBP.

7. Payment Structure

Full payment is required before any order ships. No order will be shipped with an outstanding balance.

Standard & Catalog Orders

Full payment is required in full before production begins on all standard and catalog orders. This payment is non-refundable once production has started.

Custom Design Orders

A separate design fee is required in full before design work begins and is non-refundable once work has started. Following design approval, a non-refundable 50% manufacturing deposit is required before production begins, with the remaining balance due in full before shipping. This 50% deposit structure applies to custom design orders only.

Accepted Payment Methods

We accept payment via Visa, PayPal, and direct wire transfer. Wire transfer fees are the responsibility of the buyer.

8. Custom Designs

• Custom designs require a minimum order of 10 units. Partial custom orders are considered on a case-by-case basis.

• The volume-based pricing tiers outlined in Section 4 do not automatically apply to custom design work. Pricing for custom orders is considered on a case-by-case basis and will be reflected in your draft invoice.

• All custom design rights and ownership remain with Designs by Nature™ Gems; custom designs become part of our general collection unless exclusivity has been separately negotiated and agreed in writing.

9. Ordering

• Standard catalog items are placed directly through our wholesale portal on our website, using your approved wholesale login.

• Exclusive Wholesale Order Only lines — including our Raw Gemstone Birthstone Collection and Seasonal Collection, as marked in this catalog — are not available through the website portal and must be ordered by email.

• Custom orders are not placed through the website. To request a custom order, email us directly; we will create a draft invoice reflecting your custom specifications and email it to you for review and payment.

10. Production & Shipping

• All pieces are handcrafted to order in small batches. No specific manufacturing time is guaranteed, as production time may vary depending on order size and current production volume.

• Normal shipments of frequently stocked items are typically fulfilled in under 14 days; larger or custom orders may take longer.

• Natural variation should be expected and guaranteed — as raw, unpolished gemstones, no two pieces are exactly identical.

• Shipping costs, timelines, and carrier selection will be confirmed with each order.

• Designs by Nature™ Gems does not pay or reimburse VAT, sales tax, customs fees, import duties, or any other expense incurred upon arrival in the buyer's country. All such costs are the sole responsibility of the buyer and vary by destination country.

11. Cancellations, Returns & Exchanges

Because pieces are handcrafted to order, all payments described in Section 7 are non-refundable once production or design work has begun.

If an order is cancelled after production has begun, for any reason, payment is still required for any portion of the order already completed at the time of cancellation, upon photo proof that it has been made. The buyer may decline to receive the completed portion, but is not entitled to a refund for it regardless of that decision. This applies to all order types.

12. Intellectual Property

All designs, photography, and catalog content remain the intellectual property of Designs by Nature™ Gems. Wholesale partners may not reproduce, resell as their own design, or otherwise misrepresent the origin of any Designs by Nature™ Gems product.

13. Governing Law & Jurisdiction

These terms, and any dispute arising from a wholesale account or order, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, regardless of the buyer's country or region. Any dispute will be subject to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada.

14. Limitation of Liability

To the maximum extent permitted by law, Designs by Nature™ Gems' total liability arising from any order, wholesale account, or these terms is limited to the amount actually paid by the buyer for the order giving rise to the claim. Designs by Nature™ Gems is not liable for any indirect, incidental, consequential, or special damages, including lost profits or lost business opportunity, arising from any order or wholesale account.

15. Force Majeure

Designs by Nature™ Gems is not liable for any delay or failure to perform any obligation under these terms where the delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disaster, fire, war, civil unrest, labour disputes, supply shortages, government action, or disruption to shipping and freight networks. Affected obligations will be performed as soon as reasonably possible once the circumstance has been resolved.

16. Data Handling

Business and contact information collected during wholesale account applications and orders — including business registration details, tax/VAT/resale numbers, and any supporting documentation — is collected, used, and safeguarded in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA). This information is used only for the purposes of establishing and administering the wholesale account and fulfilling orders, is not disclosed to third parties except as necessary to process payment, taxation, or shipping, and is retained only as long as necessary for these purposes.

17. Agreement

By submitting a wholesale account application or placing a wholesale order, the buyer agrees to the terms outlined in this document. Designs by Nature™ Gems reserves the right to update these terms at any time; continued use of a wholesale account constitutes acceptance of updated terms.
